1. Acceptance of Terms

By accessing or using AddSign ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms constitute a legally binding agreement between you and AddSign.

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a new "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.

2. Description of Service

AddSign provides an electronic signature platform that enables users to:

  • Upload documents for electronic signature
  • Add signature fields and send documents to signers
  • Sign documents electronically
  • Store and manage signed documents
  • Create and use document templates

The Service is provided "as is" and we make no guarantees regarding uptime, availability, or fitness for any particular purpose.

3. Electronic Signature Legal Validity

Electronic signatures created through AddSign are intended to comply with applicable electronic signature laws, including:

  • United States: Electronic Signatures in Global and National Commerce Act (ESIGN Act) and Uniform Electronic Transactions Act (UETA)
  • International: Similar electronic signature laws in various jurisdictions

Important: While electronic signatures are legally valid for most transactions, certain documents may require wet ink signatures or notarization by law, including but not limited to:

  • Wills, codicils, and testamentary trusts
  • Adoption, divorce, and family law documents (varies by state)
  • Court orders and notices
  • Certain real estate documents (varies by state)
  • Documents requiring notarization

You are responsible for determining whether electronic signatures are appropriate and legally sufficient for your specific documents and transactions. We recommend consulting with a legal professional if you have questions about the legal validity of electronic signatures for your use case.

4. User Accounts

To use the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain the security of your password and account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized access or security breach

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activity.

5. User Responsibilities

You agree that you will NOT use the Service to:

  • Upload, sign, or distribute documents that are illegal, fraudulent, or violate third-party rights
  • Forge or falsify signatures or misrepresent your identity
  • Collect signatures without proper consent or authority
  • Violate any applicable laws or regulations
  • Transmit viruses, malware, or other harmful code
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Use the Service for any purpose that is harmful, threatening, or harassing
  • Resell or redistribute the Service without authorization

You are solely responsible for all documents you upload and all signatures you request. You warrant that you have the legal authority to enter into the agreements represented by the documents you process through the Service.

6. AI-Powered Features

AddSign offers optional AI-powered features, including document summaries and intelligent assistance. By using these features, you acknowledge and agree that:

  • Document content may be processed by third-party AI services to provide these features
  • AI-generated summaries and suggestions are for convenience only and may contain errors
  • You should not rely solely on AI analysis for legal, financial, or critical decisions
  • AI features are opt-in and require your explicit consent before processing each document
  • Processed data is used only to provide the requested feature and is not used to train AI models

Important: Do not use AI features on documents containing highly sensitive information that you do not wish to be processed by third-party services.

7. Prohibited Content and Uses

AddSign is designed for general business document signing. The following uses are prohibited:

  • Protected Health Information (PHI): AddSign is NOT HIPAA compliant. Do not upload documents containing medical records, patient information, or other health-related data protected under HIPAA
  • Classified or Government Secrets: Documents with government classification levels
  • Financial Account Credentials: Documents containing passwords, PINs, or full payment card numbers
  • Documents Requiring Specific Compliance: Industries with specific compliance requirements (healthcare, government, defense) should verify AddSign meets their regulatory needs before use

If you are subject to specific regulatory requirements (HIPAA, ITAR, FedRAMP, etc.), it is your responsibility to ensure AddSign is appropriate for your use case. We recommend consulting with your compliance team before processing regulated documents.

8. Document Storage and Retention

We will store your documents securely for as long as your account is active. Our standard retention practices include:

  • Signed documents are retained for a minimum of 7 years (legal compliance)
  • Deleted documents are moved to trash and permanently deleted after 30 days
  • Upon account termination, we retain signed documents per legal requirements

You are responsible for maintaining your own copies of important documents. While we implement industry-standard backup procedures, we recommend downloading and storing copies of all signed documents for your records.

7. Audit Trail

For each document signed through the Service, we create and maintain an audit trail that records:

  • Date and time of each action (document sent, viewed, signed)
  • Email addresses of all parties
  • IP addresses used to access and sign documents
  • Document integrity verification (hash)
  • Consent records

This audit trail is designed to provide evidence of the signing process and is available with signed documents upon request.

8. Intellectual Property

The Service, including its design, features, and content (excluding user-uploaded documents), is owned by AddSign and protected by intellectual property laws. You may not:

  • Copy, modify, or distribute our software or content
  • Reverse engineer or attempt to extract source code
  • Use our trademarks without permission

You retain all rights to your documents. By using the Service, you grant us a limited license to store, process, and display your documents solely for the purpose of providing the Service.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • The Service is provided "AS IS" without warranties of any kind, express or implied
  • We do not warrant that the Service will be uninterrupted, error-free, or secure
  • We are not responsible for the content, accuracy, or legality of documents you process
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages
  • Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim

Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability, so some of the above limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless AddSign and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any documents you process through the Service.

11. Termination

You may terminate your account at any time by contacting us. We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Non-payment (for paid plans)
  • Extended inactivity

Upon termination, your right to use the Service ceases immediately. We will retain signed documents as required by law and provide you an opportunity to export your data where feasible.

12. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be:

  • First attempted to be resolved through good-faith negotiation
  • If unresolved, submitted to binding arbitration in accordance with the rules of the American Arbitration Association
  • Governed by the laws of the State of Florida, without regard to conflict of law principles

You agree to waive any right to participate in class action lawsuits against AddSign.

13. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to our data practices as described in the Privacy Policy.

14. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and AddSign
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect
  • Waiver: Our failure to enforce any right does not waive that right
  • Assignment: You may not assign these Terms without our consent; we may assign them freely
  • Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control
